CONSTITUTION AND BYLAWS OF
THE
HUDSON VALLEY YOUTH SOCCER LEAGUE, INC.
ARTICLE I - NAME
The name of the organization shall be the Hudson Valley Youth Soccer
League, Inc., hereinafter known as the HVYSL of league.
ARTICLE II - NATURE OF THE ORGANIZATION
SECTION ONE - Purpose. This league shall be a non-profit
corporation under the laws of the State of New York, dedicated to the
development, promoting, teaching, administering and governing the game
of soccer for the benefit of the youth up to and including nineteen (19)
years of age within it's jurisdiction.
SECTION TWO - Jurisdiction. The area of jurisdiction of the
HVYSL shall include Orange, Ulster, Sullivan and Rockland Counties.
SECTION THREE - Affiliation. The HVYSL shall be affiliated
with the Youth division of the United States Soccer Federation,
hereinafter known as the USSF, as a member league of Eastern New York
Youth Soccer Association, hereinafter known as the ENYYSA, and shall be
bound by their rules and regulations.
SECTION FOUR - Colors. The representative colors of the
HVYSL shall be Red, White and Blue.
ARTICLE III - MEMBERSHIP
SECTION ONE - Eligibility. Membership shall be open to
clubs, youth programs and organizations within the HVYSL area of
jurisdiction, set forth above, upon fulfilling such conditions as the
League may establish.
SECTION TWO - Classes. A member organization may affiliate
in one of three classes:
A. Intramural
Team Membership. This class of affiliation allows local bodies
such as soccer and sport clubs, soccer leagues, towns, villages, cities,
authorities, commissions, service and voluntary organizations to obtain
the general benefits of the youth division of the USSF. A member
of this class may request, and if manpower is available from the HVYSL,
assistance to guide the development of their youth soccer program.
B. Traveling
Team Membership. This class of affiliation includes all the
benefits set forth above and provides a program of competitive
league-scheduled games and activities.
C. Affiliated
Team Membership. This class of affiliation is for individual
teams of member clubs who are registered through another league.
SECTION THREE - Membership Fee. A
membership fee of $25 (dollars) annually for Intramural Team and Travel
Team memberships due January 1st of each year. A membership fee of
$54 (dollars) annually for each Affiliated team for a registration year.
SECTION FOUR - Admission. Application for admission shall
be completed and submitted, in writing, to the secretary of the HVYSL,
along with a ten dollar ($10) fee, which will be returned if admission
is denied. Also, the application must be accompanied with:
A. A letter signed
and dated by the President or chief operating officer of the applying
organization, indicating its willingness to comply with all requirements
of the HVYSL and ENYYSA Constitution and By-Laws. The applicant
agrees to be represented at all HVYSL meetings.
B. A letter of
"Release In Good Standing" from the USSF organization with which it may
have been previously affiliated.
C. A dated listing
of the names, mailing addresses, and the telephone numbers of all
officers, directors and trustees, specifying the person and or address
to which all league correspondence is to be sent.
D. The name of the organization's authorized league voting
representative and alternate(s).
SECTION FIVE - Suspension and Termination.
Membership may be suspended by a majority vote and terminated by
two-thirds vote of the present and eligible votes at any duly
constituted HVYSL regular meeting or at a Special Meeting called for
that purpose.
A. Suspension.
Member organizations, League voting representatives, or League committee
members and officers may suspended from the League because of an arrears
of indebted situation with the League, or through potentially damaging
conduct, until such matters are settled and a majority vote taken to
remove the suspension at a duly constituted meeting of the League.
The League voting representative of the suspended member organization
may not vote at any meeting of the HVYSL.
B. Termination. The membership of affiliated
organizations may be terminated and League voting representatives or
league committee members and officers removed from office for
circumventing a decision of the HVYSL or for damaging the interest or
reputation of the League. A terminated member organization must
reapply for admission and meet all requirements, described in SECTION
FOUR above, including payment of another admission fee.
C. Notification of Charges. Member organizations,
league voting representatives, or League officers shall be notified of
the general nature of the charges in writing, by the League President,
and shall be given the opportunity to appear at the meeting to answer
them.
SECTION SIX - Legal Recourse. Individual member
organizations are to understand that the HVYSL reserves the right to
take whatever legal action it deems necessary to protect the rights and
interests of the League.
SECTION SEVEN - League Voting Representative
Registration. The initial designation of, and all changes in
HVYSL League Representatives and alternates must be in writing, and in
the possession of the League secretary before new representatives will
be allowed to participate and vote at a meeting of the HVYSL.
Change of authorization must be signed and dated by the President or
chief operating officer of the member organization.
ARTICLE IV - OFFICERS
SECTION ONE - Board of Directors. All powers
and final authority for the HVYSL are vested in the member organizations
through their designated and registered League voting and the elected
officers at duly constituted League meetings. The League Voting
Representatives and the HVYSL elected officers together serve as, and
constitute, the HVYSL Board of Directors.
The Board of Directors shall be empowered to transact all the League's
business, to fill Elective Board vacancies that occur, to establish
special committees as it deems appropriate and to delegate power
thereto, and to confirm the appointment of all committee members.
Also, the Board of Directors may terminate or remove any officer, League
Voting Representative, or member organization according to ARTICLE III,
SECTION FIVE, and to hear and decide on protests or appeals from member
organizations. Between scheduled meetings of the HVYSL Board of
Directors, emergency actions may be taken by a three-fourths vote of the
Executive Board. Such actions must be presented to the membership
for review, discussion, and concurrence at the next regular or special
meeting.
SECTION TWO - Executive Board. The
elected officers of the League shall consist of the President, First
Vice-President, Second Vice-President, Third Vice-President, Fourth
Vice-President, Secretary, Treasurer and Registrar. The officers
together serve as, and constitute, the HVYSL Executive Board.
SECTION THREE - Officers. The duties of the officers shall
be as follows:
A. President.
The President shall preside at all meetings of the League and represent
the League on all matters. He will also serve as co-chairman of
the Budget Committee. The President will recruit candidates foe
committee posts and may serve on any committee except for the Nominating
Committee. He may serve as the League's representative to the
ENYYSA or, with the concurrence of the Board of Directors, he may
delegate this responsibility.
B. First
Vice-President. The First Vice-President shall automatically
become President if the President cannot complete his term of office.
In the President's absence, he shall preside at meetings of the League.
The First Vice-President shall assist the President in all matters to
ensure that he has full knowledge of the administration of the League.
He shall be chairman of the Audit Committee and shall administer the
Boys Select Team Program.*
C. Second
Vice-President. The Second Vice-President shall succeed to the
powers of the First Vice-President taking over the duties of the
President or otherwise vacating the office. The Second
Vice-President shall succeed to the powers of the President if the
President and First Vice-President cannot complete their terms.
Unless someone is otherwise designated, the Second Vice-President shall
process all applications to travel or to host tournaments and act as the
HVYSL Insurance Coordinator.
D. Third
Vice-President. The Third Vice-President shall have the prime
responsibility for administering the Travel Team schedule as the Games
Committee Chairman. In addition, he shall be responsible for
coordinating with other leagues and arranging for inter-league games and
league sponsored tournaments.
E. Fourth
Vice-President. The Fourth Vice-President shall have the prime
responsibility for administering Girls Select Team program.*

F.
Secretary. The Secretary of the HVYSL shall be responsible
for recording the activities of the League and maintaining appropriate
files, mailing lists and necessary records. He shall perform such
duties as are herein specifically set forth in addition to such other
duties as are customarily incident to the office of Secretary or as may
be assigned by the Board of Directors. The Secretary shall be the
official repository of this Constitution and By-Laws, the Playing Rules,
and any other official documents of the League.
The Secretary shall maintain a list of all Member Organizations,
Representatives, Directors, Officers and Committee Members and give
notice of all meetings of the HVYSL Board of Directors and the Annual
General Meeting.
The Secretary shall keep the minutes of the meetings of the Board of
Directors and the Annual General Meeting and cause them to be recorded
in a book kept for that purpose. He shall send a copy of the
minutes of the meeting to each registered League Voting Representative,
each HVYSL Officer, each member Organization's designated person/address
under ARTICLE THREE, SECTION FOUR, and any meeting attendee so
requesting them. These minutes, along with the agenda for the next
meeting, shall be sent ten days previous to the planned meeting date.
Member organizations are to request time on the agenda for specific
subjects fourteen days prior to the meeting by contacting the Secretary.
G. Treasurer.
Te Treasurer shall perform such duties as are herein specifically set
forth and such other duties as are customarily incident to the office of
Treasurer or may be assigned by the Board of Directors.
The Treasurer shall file, annually or as often as required by law, a
statement of Non-Profit Corporation with the Internal Revenue Service
and deposit a copy of same in a depository approved by the Board of
Directors.
The Treasurer shall file a complete financial statement for approval at
each meeting of the Board of Directors and keep records of receipt and
disbursement of all monies and securities of the HVYSL, disburse all
payments for allotted funds as approved by the Board of Directors and
drawn checks therefor.
The Treasurer shall give a receipt for all monies which shall be
deposited or disbursed in a chartered bank in the name of the League.
All amounts of five dollars or ore shall be paid bycheck which shall be
signed by the President and/or the Treasurer.
With assistance from the President, the Treasurer shall prepare and
submit an Annual Financial Statement to the Board of Directors at the
Annual General Meeting. He shall also, with the assistance and
concurrence of the Budget Committee, prepare and present a budget for
the following fiscal year. The Treasurer shall be chairman of the
Budget Committee.
H. Registrar.
The Registrar shall be the custodian of all the team and player
registration information and shall have the authority to check the
credentials of any player for any cause. He shall coordinate with
the Registrars of member organizations and/or the ENYYSA, as necessary.
He will register all players and collect registration fees which he will
immediately submit to the HVYSL Treasurer.
SECTION FOUR - Term of Office, Vacancies. The Term of
Office shall be a period of up to two (2) years, ending on June 30th,
unless the office holder should be re-elected. Odd years,
President, Treasurer, Second Vice-President, Fourth Vice-President and
even years, First Vice-President, Third Vice-President, Secretary and
Registrar. If any office vacancy occurs by death, resignation, or
otherwise, it may be filled for the remainder of the term by a majority
vote of the remaining members of the Board at any Regular Meeting or at
a Special Meeting held for that purpose.
ARTICLE V - COMMITTEES
SECTION ONE - Committees, Chairman and Members. The
President will be present, for confirmation by the Board of Directors,
the following Committee Chairmen and members, whose duties will be
described.
